These Terms of Service ("Terms") form a binding agreement between you (the "Customer") and Schedulyn for access to and use of our website and workforce scheduling platform (the "Service"). If you accept these Terms for an organization, you confirm that you are authorized to bind that organization.

1. Service scope and eligibility

The Service is intended for business use. You must provide accurate registration information and maintain it during the subscription term.

2. Accounts and security

Customer is responsible for account administration, role assignments, and credential confidentiality. Customer must promptly notify Schedulyn of suspected unauthorized access or misuse.

3. Subscription, trial, and billing

  • Subscription fees are charged according to the selected monthly or annual plan.
  • Any trial converts to paid subscription unless canceled before trial end.
  • Fees are billed in advance and are non-refundable except as required by law.
  • Taxes are excluded unless stated otherwise; Customer is responsible for applicable taxes.
  • Late or failed payments may result in suspension after reasonable notice.

4. Acceptable use

Customer and users must not:

  • Use the Service in violation of applicable law, including data protection and employment law.
  • Bypass security controls or attempt unauthorized access to systems or data.
  • Reverse engineer, copy, scrape, or resell the Service except as expressly permitted by law.
  • Upload malicious code or use the Service to interfere with other users.

5. Customer data and compliance

Customer retains responsibility for the legality, quality, and accuracy of data entered into the Service, including having a lawful basis for any personal data processing.

6. Data protection (GDPR/EU)

Where Schedulyn processes personal data on Customer instructions, the Data Processing Addendum governs and forms part of this agreement. If there is a conflict between these Terms and the DPA regarding personal data processing, the DPA prevails for that subject matter.

7. Intellectual property

Schedulyn and its licensors retain all rights, title, and interest in the Service, software, templates, documentation, and trademarks. Customer receives a limited, non-exclusive, non-transferable subscription right to use the Service during an active term.

8. Confidentiality

Each party will protect the other party's confidential information with at least reasonable care and use it only to perform obligations under this agreement, except where disclosure is required by law.

9. Availability and updates

Schedulyn may perform maintenance, security updates, and feature changes. We aim for reliable service but do not guarantee uninterrupted or error-free operation.

10. Warranties and disclaimers

To the extent permitted by mandatory law, the Service is provided "as is" and "as available." Schedulyn does not warrant that the Service will meet every specific customer requirement or legal interpretation without customer configuration and oversight.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, consequential, or punitive damages. Schedulyn's aggregate liability for direct damages arising under these Terms is limited to the amount paid by Customer for the Service during the 12 months preceding the event giving rise to liability.

This limitation does not exclude liability that cannot be excluded under mandatory law.

12. Term, suspension, and termination

These Terms apply from first use and continue until terminated. Either party may terminate for material breach not cured after written notice and a reasonable cure period. Schedulyn may suspend access where necessary to prevent security risk, legal violation, or material non-payment.

13. Effects of termination

Upon termination, subscription access ends. Customer data is handled according to the DPA, applicable law, and agreed retention/export windows.

14. Governing law and disputes

These Terms are governed by the laws of Sweden, excluding conflict-of-law rules. Any dispute that cannot be resolved amicably will be submitted to Swedish courts, unless otherwise required by mandatory law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be published with an updated effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
